Welcome to Karyonix HRMS. By accessing or using our Human Resource Management System ("HRMS" / "Service"), you agree to comply with and be bound by the following Terms & Conditions. If you do not agree, please do not use the platform.

1. Use of Service

The HRMS platform is provided exclusively for managing internal employee data, attendance, payroll, and related HR operations. You agree to use the system only for lawful business purposes and in compliance with all applicable local, national, and international laws.

2. User Access & Security

• Access is strictly limited to authorized users within your organization.
• You are solely responsible for maintaining the confidentiality of your login credentials.
• Any unauthorized access or security misuse must be reported to Karyonix immediately.

3. Subscription, Billing & Taxes

• Services are provided on a subscription basis and all payments must be made in advance according to your selected plan.
• Non-payment or delayed payment may result in immediate suspension or termination of access to the platform.
• All subscription fees are non-refundable unless explicitly agreed otherwise in writing.
• Goods and Services Tax (GST): All listed plan prices are exclusive of statutory taxes. Applicable GST will be added to the invoice at the time of billing.

4. Data Ownership & Privacy

All employee and company data entered into the system remains the absolute property of the client. Karyonix claims no ownership rights over your data. However, you grant us a limited license to host, transmit, and process this data solely to provide the HRMS services to you.

5. Data Protection Compliance (DPDPA)

Both parties agree to comply with the Digital Personal Data Protection Act (DPDPA), 2023, and other applicable data privacy laws in India. The client acknowledges they are the 'Data Fiduciary' and Karyonix is the 'Data Processor'. The client represents that they have obtained all necessary consents from their employees before uploading personal data into the HRMS.

6. System Availability & Maintenance

While we strive for high uptime and system reliability, Karyonix does not guarantee uninterrupted or error-free service. Scheduled maintenance, emergency repairs, or unforeseen technical issues may cause temporary downtime. We will attempt to provide advance notice for scheduled disruptions whenever possible.

7. Intellectual Property & Restrictions

Karyonix retains all rights, titles, and interests in and to the HRMS platform, including all software, source code, updates, and branding. You strictly agree NOT to:

• Reverse engineer, decompile, or copy any part of the platform.
• Unauthorizedly resell, lease, sublicense, or redistribute the platform to third parties.
• Use the platform for any illegal, fraudulent, or malicious activities.

8. Termination & Data Retrieval

We reserve the right to suspend or terminate your access if these terms are violated or payments are overdue. Upon termination, your right to access the platform will be instantly revoked. The client will be given a period of 30 days from the date of termination to export their data, after which Karyonix reserves the right to permanently delete all data from its servers.

9. Limitation of Liability

To the maximum extent permitted by law, Karyonix (and its parent entity, Skysphere Infosoft) shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of data, loss of profits, or business interruption arising out of the use or inability to use the system.

10. Modifications to Terms

We reserve the right to modify or update these Terms & Conditions at any time. Your continued use of the HRMS platform after changes are posted constitutes your explicit acceptance of the revised Terms.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising out of these Terms shall fall under the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat.
